This agreement
These terms form the agreement between you and David Guillemette, a sole proprietor doing business as Technologies SlideMind (“SlideMind”, “we”), based in Montréal, Québec. They apply when you create an account or use the SlideMind service.
SlideMind connects learning activities to AI services and to a memory of learner information. It is intended for professional and organisational use, including by independent professionals. That intended use does not remove any right the law gives you as a consumer.
The Billing and refunds page forms part of these terms. The Privacy policy explains how we handle personal information. A separate agreement signed with us prevails over these terms on the points it covers.
Your account
You must be of legal age to create an account. If you act for an organisation, you confirm that you are authorised to bind it to these terms.
Keep your account information accurate, protect your credentials and review who has access to your workspaces. You are responsible for what happens in your account and for the people you invite to your workspaces. Tell us promptly if you suspect unauthorised access.
Your content and learner data
You keep all rights to the content you add to SlideMind. You allow us to host, process and transmit it only as needed to provide the service, follow your instructions and meet our legal obligations, including sending the context you select to an AI provider. We do not use your content or your learners’ information to train AI models.
You choose the course content, learner identifiers, saved variables, retention settings and AI instructions. Add only information you are entitled to use, inform your learners and obtain the consents required. A learner identifier can itself be personal information, such as an email address.
For learner information, your organisation decides what is collected and why, and SlideMind processes it on your behalf and according to your instructions. We can sign a data processing agreement when your organisation requires one.
AI responses can be inaccurate, biased or unsuitable. Review the activities you publish and keep appropriate human oversight of any significant decision about a learner. You can use the responses generated for your activities, but we do not guarantee their accuracy or that they are unique.
Acceptable use
You agree not to:
- use the service for an unlawful purpose or to infringe the rights of others;
- bypass access controls, access another workspace’s data or share your credentials publicly;
- interfere with the security or availability of the service, or overload it deliberately;
- resell access to the service, except as allowed by your plan;
- use the service in a way that breaches the terms of the AI providers it relies on.
We apply technical limits, such as request rate limits, to protect the service and its users. Limits that affect what a plan includes are shown on the Pricing page.
Plans, SlideMind Credits and payment
The Pricing page describes the available plans and what each includes. Before you confirm a purchase, the checkout shows the plan, the billing period, the applicable taxes and the total. Prices are in US dollars. Promotional offers, such as the Early Bird rate, follow the conditions shown when you subscribe.
Paid subscriptions renew automatically for the same period until you cancel renewal. You can cancel at any time in the console, without a cancellation fee; your paid access then continues until the end of the period already paid for.
SlideMind Credits are units of prepaid AI usage: 100 credits represent 1 USD. Each managed AI request uses credits according to the model and the amount of content processed and generated. Credits are not money: they cannot be exchanged for cash or transferred, except as described on the Billing and refunds page. Monthly included credits expire at the end of each cycle.
On eligible plans, a workspace can use its own AI provider API keys instead. That provider then bills you directly under your own agreement with it.
Refunds, pauses, payment failures and purchased credits follow the rules on the Billing and refunds page:
Leaving and exporting your data
Cancelling renewal, returning to the free plan, pausing and closing your account are separate actions:
- Cancel renewal: your paid access continues until the end of the paid period.
- Return to the free plan: your account stays open. Resources above the free plan’s limits become read-only; nothing is deleted.
- Pause: your workspace is kept intact, in read-only mode with export available, for the duration you choose.
- Delete a workspace or close your account: a 30-day recovery period begins, with read-only access, a complete export and the option to restore. The data is then permanently deleted.
You can export your courses, slides and learner information at any time from the console, and we offer an export again when you close your account. Exports are provided through a secure, time-limited link; learner information is never sent as an email attachment.
During a pause or a recovery period, published activities stop responding to learners and show a neutral message rather than an error.
Availability and suspension
We work to keep SlideMind available and to announce planned maintenance in advance. Our plans do not include a guaranteed uptime percentage. We normally compensate a major interruption with an extension of service, without excluding any remedy the law provides.
We may restrict or suspend access in the event of non-payment, fraud, unlawful use, a serious breach of these terms or a security threat. We will warn you first and give you a reasonable opportunity to correct the situation, unless urgent action is needed to protect the service, its users or learners, or to comply with the law. Any restriction will be proportionate to the problem.
Ending the agreement
You can end the agreement at any time by closing your account. Refunds then follow the Billing and refunds page and the rights provided by law.
We may end the agreement for a serious or repeated breach of these terms that you have not corrected after notice, or without notice in the case of fraud or a serious security threat. Unless the termination results from fraud, we refund your unused purchased credits.
We may also end the agreement without cause, with 60 days’ notice. In that case, we refund the unused portion of your subscription and your unused purchased credits.
If we decide to stop offering SlideMind permanently, we will give at least 90 days’ notice, keep export available until the end and refund the unused portion of your subscription and your unused purchased credits.
Intellectual property
SlideMind, its software, documentation, integration code and brand belong to us. We grant you a non-exclusive, non-transferable right to use the service during your agreement, including the right to include our integration code in your courses.
You may not copy, modify or reverse engineer the service, except as the law expressly allows, or use it to build a competing service.
If you send us suggestions or comments about SlideMind, we may use them freely, without obligation to you.
Warranties and liability
We provide the service with reasonable care and skill. Apart from the commitments in these terms and the legal warranties that cannot be excluded, we do not guarantee that the service will be uninterrupted or free of errors, or that it will meet a particular need.
To the extent permitted by law, our total liability to you for any claim related to the service is limited to the amounts you paid us in the 12 months before the event giving rise to the claim. We are not liable for indirect losses, such as lost profits or lost business opportunities.
These limits do not apply to bodily or moral injury, to damage caused intentionally or through gross fault, or where the law does not allow them, notably for consumers.
You are responsible for claims arising from content or learner information you add to the service without the necessary rights or authorisations, and you will compensate us for the reasonable costs they cause, to the extent permitted by law.
Changes to the service, prices and terms
SlideMind evolves: we may add, change or remove features. We will give you at least 30 days’ notice, by email or in the console, of a price increase or any change that reduces your rights or what your plan includes. A price increase applies only from your next renewal after that notice, and you can cancel renewal without a fee before it takes effect.
Other changes to these terms take effect when they are published. The date at the top of the page shows the current version.
General terms
These terms are governed by the laws of Québec and the federal laws of Canada that apply there. Disputes are heard by the courts of the judicial district of Montréal, unless the law gives you the right to go before another court. There is no mandatory arbitration and no waiver of class actions.
These terms are offered in French and in English. The French version was provided first; if you use the English version, it is by your choice.
We send notices to the email address of your account or through the console. You can write to us at the addresses below.
We may transfer this agreement to a business that takes over the service, including a corporation formed to continue SlideMind, provided it assumes our obligations to you. We will notify you of any such transfer.
If a provision of these terms is found invalid, the others remain in effect. Our failure to enforce a provision is not a waiver of it.
